AN ORDINANCE AUTHORIZING AND DIRECTING THE MUNICIPAL MANAGER TO ENTER INTO AN AGREEMENT WITH GREAT LAKES ENERGY CORPORATION, LLC FOR THE LEASE OF PROPERTY TO BE INCLUDED IN GAS WELL DRILLING UNITS; AND DECLARING AN EMERGENCY.

WHEREAS the Village has permitted Great Lakes Energy Corporation, LLC, through the passage of Ordinance # 39-05 to drill gas wells within the Village Limits; and

WHEREAS Great Lakes Energy Corporation, LLC must obtain a minimum amount of acreage surrounding each well head to comprise a viable well unit; and

WHEREAS the Charter of the Village of Sebring vests discretion regarding real estate with the Council of the Village of Sebring concerning transactions for leases and other devises; and

WHEREAS the Council of the Village of Sebring has determined it is in the best interest of the Village to enter into an Oil and Gas Lease Agreement with Great Lakes Energy Corporation, LLC for the lease of property to be included in gas well drilling units.

NOW, THEREFORE BE IT ORDAINED BY THE COUNCIL OF THE MUNICIPALITY OF SEBRING, MAHONING COUNTY, OHIO:

Section 1: That the Municipal Manager is hereby authorized and directed to enter into an Oil and Gas Lease Agreement with Great Lakes Energy Corporation, LLC in the form substantially similar to attached exhibit “A”.

Section 2: That it is FOUND and DETERMINED that all formal actions of this Council relating to the passage of this Ordinance or adopted in an open meeting of this Council, and that all deliberations of this Council, and of any of its committees which resulted in such formal actions were made in compliance with all legal requirements, including those of section 121.22 of the Ohio Revised Code, all pursuant to Section 3.11 of the Charter of the Village of Sebring.

Section 3: That this Ordinance is hereby determined to be an EMERGENCY MEASURE necessary for the immediate preservation of the public health, safety and welfare of the citizens of the Municipality of Sebring, Ohio and for the further reason that the same is necessary to ensure the wells are drilled as soon as reasonably practical and to commence receiving financial royalties as contemplated under the agreement.
